Draft — not yet in force
This is a draft, published so you can read it rather than being told it exists. It has not been reviewed by a lawyer, and parts of it describe how Control is designed to work rather than what has shipped — Control is in private beta and no payment has been taken. Details still to be settled are shown like this: to be confirmed.
Terms of Service
The agreement for using Control, including the limits of what an assistant that makes judgements can be relied on for.
Effective date: effective date Last updated: effective date
In short
- Control is an assistant, not a system of record. It reads what you write and makes a judgement about what matters. It will sometimes get that judgement wrong. Do not rely on it alone for anything with a real consequence.
- You own everything you put into Control. You give us permission to process it so the product can work. That's all.
- Paid plans renew automatically until you cancel. You can cancel any time and keep access until the end of the period you've paid for.
- Don't use Control to break the law, and don't try to break Control.
- If we ever have to limit your usage, we degrade the intelligence, never your data. Your captures always save.
1. Who these terms are between
These terms are an agreement between you and company legal name, a company established in the United Arab Emirates with its registered address at registered address ("Control", "we", "us").
They apply when you use the Control website at take-control.ai or the Control application (together, the "Service").
By creating an account or using the Service, you agree to these terms. If you don't agree, don't use the Service.
Our Privacy Policy, Cookie Notice, Subprocessor List and Refund Policy are part of these terms.
2. Who can use Control
- You must be at least 16 years old. We do not accept users under 16, and we do not accept users under 13 in any circumstances.
- You must have the legal capacity to enter into a contract.
- You must not be barred from receiving services under the laws of the UAE, the United States, the European Union, the United Kingdom, or any other applicable sanctions or export control regime.
- If you are using Control on behalf of an organisation, you confirm you have authority to bind that organisation, and "you" means both you and the organisation.
3. Your account
- You sign in with a one-time code sent to your email, or through a third-party provider (Google, Microsoft, GitHub, Discord or Slack). We never store a password.
- Keep your email account secure. Anyone with access to it can access your Control account.
- Accounts are personal to you. Don't share your account or let someone else use it.
- You're responsible for everything that happens under your account.
- If you sign up with one method and later use another with the same verified email address, you land in the same account. Sessions last 30 days on a rolling basis and can be revoked per device from Settings.
- Tell us promptly at contact email if you think someone else has accessed your account.
4. What Control does — and what it is not
4.1 What we provide
Control captures what you write or say, interprets it into tasks, events and reminders, learns facts about your life to make those interpretations better, and decides what to show you on your home screen and in what order.
4.2 ⚠️ The important disclaimer: Control may misinterpret you
Please read this section. It is the most consequential thing in this document.
Control relies on artificial intelligence to interpret natural language. AI is probabilistic. It is wrong sometimes, and it is confidently wrong sometimes. Specifically, Control may:
- misread a date or time — put something on the wrong day, in the wrong timezone, or at the wrong hour;
- misidentify a person — attach a task to the wrong "Joseph";
- misjudge priority — rank something low that was actually critical, or bury it below something trivial;
- infer a fact about you that is simply wrong, and then use that wrong fact in later interpretations;
- miss something entirely, or fail to send a notification you expected;
- fail to remind you at all — push notifications on iOS, in particular, require the app to be installed to your home screen and are inherently unreliable.
Therefore:
Control is an assistant. It is not a system of record for critical obligations.
You must independently verify anything that matters. Do not use Control as your only record of, or reminder for: legal or court deadlines, tax and regulatory filings, medication and medical appointments, examination and thesis submission deadlines, grant deadlines, travel and flight times, visa or immigration deadlines, contractual notice periods, financial obligations, or anything else where being wrong or late causes real harm.
Keep an independent record of those things. Check Control's interpretation when you capture something important — the original wording you used is always kept and always visible, precisely so you can check it.
We are not responsible for anything you miss, forget, or get wrong because you relied on Control.
Control gives you tools to catch its own mistakes, and you should use them: the original text of everything you captured is preserved and viewable; every inferred fact shows you where it came from and can be corrected; and you can override any priority yourself.
4.3 Availability
We aim to keep Control available, but we do not promise any particular uptime, and we do not offer a service level agreement on any plan. Control depends on third parties — a hosting provider, a database provider, AI providers, an email provider — and their outages will affect us.
Control is designed so that a failure degrades rather than blocks: if the network is down, an AI provider is down, or you're out of quota, your capture still saves using local processing. Only the intelligence degrades. We consider that a core commitment, but it is not a guarantee of uninterrupted service.
We may modify, suspend or discontinue features. For a material reduction in a paid feature, see §16.
5. Your content and who owns it
- You own your content. Everything you put into Control — your tasks, notes, the original words you typed or spoke, your personal facts, your voice transcripts — is yours. We claim no ownership of it.
- You give us a licence to run the product. You grant company legal name a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, encrypt, index, display back to you, and process your content — including by sending it to our AI providers for interpretation — solely to provide, secure and support the Service for you, and to comply with the law. This licence ends when you delete the content or your account, except for backups still in rotation (see the Privacy Policy).
- We do not train models on your content, and our AI providers are contractually barred from doing so.
- We do not sell your content or share it for advertising.
- You are responsible for what you put in. You confirm you have the right to put it there, including where it concerns other people, and that it doesn't infringe anyone's rights or break any law.
- Feedback. If you send us suggestions, we can use them freely and without obligation to you.
6. Acceptable use
Do not:
- Use Control for anything illegal, or to plan, coordinate or record criminal activity.
- Upload content that infringes someone else's intellectual property, privacy or other rights.
- Upload content that is unlawful, defamatory, harassing, or constitutes material that is illegal to possess.
- Attempt to break, probe or circumvent the Service's security, rate limits, quotas or entitlement checks; attempt to access another user's data; or test for vulnerabilities without our written permission.
- Use bots, scripts or automation to interact with the Service outside of a normal, human pattern of use, or to generate volume beyond what a person could produce.
- Resell, sublicense, or provide the Service to third parties, or use it to build a competing product.
- Reverse engineer, decompile, or attempt to extract our source code, prompts, model configuration or system instructions, except to the extent that restriction is prohibited by law.
- Scrape the Service, or use it to extract data at scale.
- Misrepresent your identity or age, or create an account after we have terminated one of yours.
- Use the Service in a way that imposes an unreasonable load on our infrastructure or our AI providers, or that breaches our AI providers' own acceptable use policies.
Security research: if you find a vulnerability, tell us at security email before you tell anyone else. We will not pursue good-faith researchers who follow that route.
7. Plans, limits and fair use
7.1 Plans
| Free | Control — $4.99/month | Control+ — $9.99/month | |
|---|---|---|---|
| AI interactions per day | 25 | 150 | 500 |
| Rolling window limit | — | 60 per 5 hours | 200 per 5 hours |
| Share of requests using the strongest model | 10% | 25% | 50% |
| Capture (typing and saving items) | Unlimited, always | Unlimited, always | Unlimited, always |
| Items stored | Unlimited | Unlimited | Unlimited |
| Server-side voice transcription | — | ✓ | ✓ |
| Calendar import (when released) | — | ✓ | ✓ |
Prices are in US dollars and exclude any taxes that merchant of record adds at checkout for your country.
7.2 How limits actually work
Hitting a limit never costs you a thought. If you exceed your AI interaction allowance:
- your capture still saves, is still visible, and is still searchable;
- it is processed by the local, non-AI parser instead;
- the app tells you when your allowance resets;
- when it resets, Control automatically upgrades the captures it handled in the meantime.
We warn you in-app as you approach your limit.
7.3 Fair use and abuse
Limits are a fair-use mechanism, not a target. We may apply a hard rate limit, temporarily suspend, or terminate an account that:
- exceeds three times its plan limit within an hour;
- shows scripted or automated usage patterns; or
- generates model costs grossly out of proportion to what the plan is priced for.
We will tell you when we do this, and why, unless doing so would defeat the purpose.
7.4 Changes to plans and limits
Plan limits are configurable and we expect to tune them as we learn how the product is used. We may increase limits at any time. If we reduce a limit or a feature on a paid plan in a way that materially reduces what you're paying for, we will give you at least 30 days' notice by email, and you may cancel and receive a pro-rata refund of the unused part of your current period.
8. Subscriptions, billing and auto-renewal
8.1 merchant of record is the seller
Payments are processed by merchant of record, which acts as the merchant of record for all purchases. That means merchant of record — not us — is the seller of record for your transaction and is responsible for collecting and remitting VAT, GST, and US sales tax where applicable.
Your purchase is also subject to merchant of record's buyer terms: mor terms url. Where their buyer terms give you rights beyond these terms, those rights apply.
8.2 Auto-renewal
Paid plans renew automatically.
- A monthly plan renews every month on the same date, and your payment method is charged automatically, at the price then in effect, until you cancel.
- You can cancel at any time — see §8.5.
- We (or merchant of record) will send a receipt for every charge.
- Where the law requires advance notice of a renewal, merchant of record or we will send it.
8.3 Free trials
If we offer you a free trial, it converts into a paid subscription at the end of the trial period unless you cancel before it ends. We will tell you the trial length and the conversion date when you start it.
8.4 Price changes
We may change our prices. Any change to the price you pay takes effect at your next renewal, and we will give you at least 30 days' notice by email first. If you don't want to pay the new price, cancel before the renewal date.
8.5 Cancelling
You can cancel from Settings → Plan, or through the billing portal we link to there.
- Cancellation takes effect at the end of your current paid period.
- You keep full access until then.
- After that you move to the Free plan. You do not lose your data — your items, notes and personal facts are all still there, and you can still export everything. Only the AI allowance and the paid features change.
8.6 Failed payments
If a payment fails, merchant of record will retry it. If it keeps failing, your subscription moves to past due and then to cancelled, and your account moves to the Free plan. Your data is not deleted.
8.7 Refunds
See the Refund Policy at take-control.ai/legal/refunds, which forms part of these terms and sets out your statutory 14-day withdrawal right if you are a consumer in the EU or UK.
8.8 Taxes
Prices are exclusive of tax. merchant of record will add any tax due in your jurisdiction at checkout.
9. Third-party services
Control depends on third parties, listed in our Subprocessor List. If you connect an optional third-party service (for example, a calendar account in a future release), your use of that service is governed by its own terms, and we are not responsible for it.
10. Our intellectual property
The Service — the software, design, the relevance and heat algorithms, our prompts and model configuration, the Control name and logo, and all documentation — belongs to company legal name and its licensors.
We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for your own task management, for as long as you comply with these terms. Nothing else is granted.
11. Suspension and termination
11.1 By you
Cancel your subscription at any time from Settings. Delete your account at any time from Settings → Privacy → Delete account. Deletion is permanent — see the Privacy Policy for exactly what happens and when.
11.2 By us
We may suspend or terminate your account if:
- you materially breach these terms, in particular §6 (Acceptable use);
- your use creates a legal, security or financial risk to us or to other users;
- we are required to by law;
- your payments fail persistently; or
- we discontinue the Service entirely.
Where it's reasonable and lawful to do so, we will warn you first and give you a chance to fix the problem. For serious breaches — illegality, security attacks, harm to others — we may act immediately.
11.3 What happens on termination
- You will be given at least 30 days to export your data, unless we are legally prevented from offering that or your account was terminated for illegal activity.
- If we terminate without cause, or we discontinue the Service, we will refund the unused portion of any prepaid period on a pro-rata basis.
- If we terminate for your breach, no refund is due except where the law requires one.
- Sections 5.5, 10, 12, 13, 14, 15 and 17 survive termination.
12. Disclaimer of warranties
Read this together with §4.2, which is the disclaimer that actually matters.
To the maximum extent permitted by law, the Service is provided "as is" and "as available". We disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- the Service will be uninterrupted, timely, secure or error-free;
- any interpretation, date, priority, inference or reminder produced by Control will be accurate, complete or timely; or
- any defect will be corrected.
If you are a consumer, you have legal rights that cannot be excluded by contract — including, in the EU and the UK, rights to services supplied with reasonable care and skill and to digital content and services that conform with the contract. Nothing in these terms limits or excludes those rights, and where this section conflicts with them, your statutory rights win.
13. Limitation of liability
To the maximum extent permitted by law:
We are not liable for indirect or consequential loss. This includes loss of profits, loss of revenue, loss of business, loss of anticipated savings, loss of goodwill, loss of opportunity, or loss or corruption of data — however caused.
We are not liable for missed obligations. Without limiting §1, we are not liable for any loss arising from a deadline you missed, an appointment you missed, a task Control misread, a priority Control got wrong, a fact Control inferred incorrectly, or a notification that did not arrive. Control is an assistant, not a system of record — see §4.2.
Our total aggregate liability, for all claims arising out of or relating to these terms or the Service, in any 12-month period, is limited to the greater of (a) the total amount you actually paid us for the Service in the 12 months before the event giving rise to the claim, and (b) fifty US dollars (US$50).
Nothing in these terms excludes or limits our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; gross negligence or wilful misconduct; or any other liability that cannot lawfully be excluded or limited.
Consumers. If you are a consumer, some jurisdictions do not allow the exclusion or limitation of certain damages, and some limit how far liability can be capped in a consumer contract. In those jurisdictions, our liability is limited to the maximum extent permitted by law rather than as set out above, and your mandatory statutory rights are unaffected.
14. Indemnity
If you are using Control for business purposes (not as a consumer), you agree to indemnify and hold harmless company legal name and its officers and contractors against any claim, loss, damage, liability, cost or expense (including reasonable legal fees) arising from:
- your breach of these terms;
- content you put into Control, including personal data about other people; or
- your unlawful use of the Service.
We will tell you promptly about any such claim, let you control the defence (with our reasonable consent over any settlement affecting us), and cooperate with you at your expense.
15. Governing law and disputes
15.1 Governing law
These terms are governed by the laws of uae jurisdiction, without regard to conflict of laws rules.
15.2 Courts
The courts of uae courts have exclusive jurisdiction over any dispute.
15.3 Consumers keep their home protections
If you are a consumer resident in the EU, the UK, or another jurisdiction with mandatory consumer protection rules, nothing in §15.1 or §15.2 deprives you of the protection of the mandatory law of your country of residence, and you may bring proceedings in the courts of your country of residence.
EU consumers can also use the European Commission's Online Dispute Resolution platform at odr platform status.
15.4 Talk to us first
Before starting formal proceedings, please email contact email and give us 30 days to resolve the matter. Most problems are a support ticket, not a lawsuit.
16. Changes to these terms
We may update these terms.
- For material changes, we will give you at least 30 days' notice by email and in the app before they take effect.
- If you don't accept a change, cancel before it takes effect. Continuing to use Control after that date means you accept the new terms.
- For non-material changes (typos, clarifications, a new subprocessor's name), we'll update the page and the "last updated" date.
- Previous versions are available on request.
17. General
- Entire agreement. These terms, plus the Privacy Policy, Cookie Notice, Subprocessor List and Refund Policy, are the whole agreement between us about the Service.
- Severability. If any provision is held unenforceable, the rest continues in force and the unenforceable part is limited to the minimum extent necessary.
- No waiver. If we don't enforce a right, that isn't a waiver of it.
- Assignment. You may not assign these terms. We may assign them to a successor in connection with a merger, acquisition or sale of assets, on notice to you.
- Force majeure. Neither party is liable for failure to perform caused by events beyond its reasonable control.
- No third-party rights. No one other than you and us has any right to enforce these terms.
- Notices. We'll contact you at the email address on your account. Contact us at contact email.
- Language. These terms are written in English. Any translation is for convenience; the English version governs unless mandatory local law says otherwise.
